These Terms and Conditions (“Terms”) govern all access to and use of the Website, as well as all purchases made through it. By accessing the Website or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Website.

2. Products and Product Descriptions

EMME ALTA MODA specializes in premium natural fabrics, including silk, wool, linen, cashmere, cotton, and other high-quality textiles sourced from renowned manufacturers, primarily from Italy.

 

All fabric products sold on this Website are cut to order. This means:

• Fabrics sold by the meter are cut from the roll at the time of order processing according to the quantity specified by the customer.

• Pre-defined panels (fabric panels with a fixed length) are also cut from the roll at the time of order processing and are not pre-separated at the factory.

• All orders are therefore manufactured or prepared specifically to the customer’s specifications at the time of purchase.

 

We make every reasonable effort to ensure that product descriptions, photographs, colour representations, fabric compositions, weights, and measurements are accurate. However, colours displayed on screen may vary depending on monitor calibration. We do not guarantee that digital colour representations are an exact match to the physical fabric.

 

We reserve the right to correct any errors, inaccuracies, or omissions in product information at any time without prior notice.

3. Orders and Contract Formation

By placing an order on the Website, you make an offer to purchase the selected products subject to these Terms. All orders are subject to acceptance and availability.

 

A binding contract of sale is formed only when we send you an order confirmation email explicitly confirming that your order has been accepted and is being processed. Acknowledgement of receipt of your order does not constitute acceptance.

 

We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to cases of:

• Pricing or product description errors on the Website.

• Unavailability of stock or materials.

• Suspected fraudulent activity.

• Inability to obtain payment authorisation.

 

If we cancel an accepted order, we will notify you promptly and issue a full refund of any payment already made.

4. Prices and Payment

All prices on the Website are displayed in the currency indicated at checkout. Prices are subject to change without notice, but changes will not affect orders that have already been accepted and confirmed.

 

Prices displayed on the Website do not include:

• Import duties, customs fees, or taxes applicable in the customer’s country of destination. These are the sole responsibility of the customer and are payable upon delivery to the relevant customs authority.

• Any applicable local taxes or VAT that may be charged at checkout depending on the customer’s country of residence.

 

Payment must be made in full at the time of placing the order. We accept the payment methods listed at checkout. By submitting payment details, you confirm that you are authorized to use the selected payment method.

5. Right of Withdrawal and Returns

5.1 Cut-to-Order Products — No Right of Withdrawal

All fabric products sold on this Website — whether sold by the metre or as panels — are cut specifically to each customer’s order at the time of processing. They constitute goods made to the consumer’s specifications within the meaning of Article 16(c) of EU Directive 2011/83/EU on consumer rights.

 

Accordingly, and to the maximum extent permitted by applicable law, the standard 14-day right of withdrawal does not apply to any order placed on this Website. Once an order is confirmed and cutting has commenced or been completed, the order cannot be cancelled and the goods cannot be returned solely on the basis of a change of mind.

 

Customers based outside the European Union should check the applicable consumer protection laws of their country of residence. We will always endeavour to act fairly in exceptional circumstances.

5.2 Defective or Incorrectly Supplied Goods

Notwithstanding the above, if the goods you receive are materially defective, damaged in transit, or substantially different from what was described and ordered, you are entitled to:

• A replacement of the defective goods; or

• A full or partial refund, at our discretion.

 

To report a defect or discrepancy, you must contact us at contact@malagolisilk.com within 14 days of receiving your order, providing your order number, a detailed description of the issue, and photographic evidence. We reserve the right to request the return of the goods before processing any remedy.

 

Natural characteristics of genuine natural fibres — including slight variations in texture, weave density, lustre, or colour between dye lots — are not considered defects and do not entitle the customer to a refund or replacement.

6. Shipping and Delivery

We ship internationally to most countries worldwide. Estimated delivery times and available shipping methods are displayed at checkout and in your order confirmation email. Delivery estimates are provided in good faith but are not guaranteed, as they may be affected by customs clearance procedures, carrier delays, or other factors beyond our control.

 

Risk of loss and damage to the goods passes to the customer upon delivery to the carrier. We will provide tracking information where available.

 

International customers are responsible for:

• All applicable import duties, customs clearance fees, brokerage fees, and local taxes in their country of destination.

• Ensuring that the importation of the ordered goods is lawful in their country of destination.

 

We are not responsible for delays caused by customs procedures. If a shipment is refused, seized, or returned by customs due to the customer’s failure to pay applicable duties or comply with import regulations, any costs of return or disposal shall be borne by the customer. Refunds in such cases will be issued only for the product value, less shipping costs and any fees incurred.

7. Product Inspection

We strongly recommend that customers inspect all goods carefully upon receipt and before cutting, washing, dyeing, or otherwise processing the fabric in any way.

 

Once a fabric has been cut (beyond the original cut made to fulfil your order), washed, treated, or altered in any manner by the customer or a third party, it is considered used and processed. No claims for defects, quality issues, or non-conformity can be accepted after the fabric has been further cut or processed.

 

If you identify any issue with your order upon receipt, please contact us at contact@malagolisilk.com before proceeding with any cutting or processing, providing your order number, a detailed description of the issue, and clear photographic evidence of the goods in their unprocessed state.

 

This inspection requirement does not affect any statutory rights you may have under mandatory consumer protection laws applicable in your country of residence.

8. Natural Characteristics of Natural Fibres

All fabrics sold by Malagoli Silk are made from genuine natural fibres, including silk, wool, linen, cashmere, and cotton. As products of nature, these fibres inherently possess characteristics that distinguish them from synthetic materials. Customers are advised to familiarise themselves with the following:

 

8.1 Colour and Dye Lot Variation

Natural fibres absorb dyes differently depending on their origin, harvesting season, and fibre structure. Colour may vary slightly between dye lots, even within the same fabric reference. Where an order is fulfilled from more than one dye lot, we will notify the customer in advance. Minor colour variations between the on-screen representation and the physical fabric are inherent to natural materials and do not constitute a defect.

8.2 Texture and Weave Variation

Slight irregularities in weave structure, thread count, or surface texture are natural characteristics of handcrafted and artisanal fabrics. In silk fabrics, occasional slubs (thickened sections of thread) are a natural feature of the raw fibre and are considered a mark of authenticity, not a manufacturing defect.

8.3 Lustre and Hand

The drape, hand (feel), and lustre of natural fabrics — particularly silk — may evolve after the first washing or with use. This is a natural characteristic of the fibre and does not constitute deterioration or a defect.

8.4 Shrinkage

Natural fibres may shrink when exposed to water, heat, or mechanical action. We recommend that customers pre-wash or pre-treat fabric according to the care instructions provided, particularly before cutting for garment construction. Shrinkage within normal industry expectations for the relevant fibre type does not constitute a defect.

8.5 Photosensitivity

Natural fibres, particularly silk, are sensitive to prolonged exposure to direct sunlight and UV light, which may cause fading or weakening of the fabric over time. This is an inherent characteristic of natural materials and not a defect.

 

None of the natural characteristics described in this section constitute manufacturing defects or grounds for return, refund, or replacement, provided the goods otherwise conform to their description on the Website.

All original content on this Website — including but not limited to the website design, layout, logo, original product photographs, original product descriptions, graphics, and other materials created by SC EMME ALTA MODA SRL — is protected by applicable intellectual property laws. No such content may be copied, reproduced, modified, distributed, or used for commercial purposes without our prior written consent.

 

Certain fabrics offered for sale may feature designs, artistic works, patterns, or motifs that are in the public domain, licensed, or otherwise lawfully reproduced. Nothing in these Terms shall be interpreted as claiming exclusive ownership over such underlying artistic works where no such rights exist.

 

All trademarks, company names, and logos displayed on this Website remain the property of their respective owners.

10. Privacy and Data Protection

Any dispute arising from these Terms or from a purchase shall be subject to the exclusive jurisdiction of the courts of Oradea, Romania, without prejudice to the right of EU consumers to bring proceedings before the courts of their country of habitual residence in accordance with applicable EU regulations (Regulation (EU) No 1215/2012).
